Technical due diligence

Clear technical advice at every stage of the transaction.

I provide succinct, commercially focused reporting that sets out the technical risks, liabilities and capex an asset carries. Surveys and reports are written to tight transaction timescales and tailored to your investment strategy.

Acquisition

Pre-acquisition TDD for purchasers and investors, single assets or multi-asset portfolios.

Disposal

Vendor TDD that gets ahead of buyer questions and protects value through the sale.

Refinance

Lender and borrower TDD to support refinancing, with clear advice on risk and capex.

Sub-consultancy

Confidential TDD support for other building consultancy firms on commercial portfolio transactions.

The TDD approach

More than a building survey.

TDD needs to account for the commercial considerations of the asset type, the nature of the transaction and the investment strategy.

01

Building fabric & structure

The key assessment I undertake covers the foundations, main form of structure, roofs, elevations, windows and doors, floors and the internal fit-out and amenities. Depending on the asset type, certain elements may need more specific focus and advice, and should be considered and planned for as part of the survey process.

02

Mechanical, electrical & public health (MEP)

An assessment of the asset would not be complete without MEP. I work with a vast network of MEP consultants with extensive TDD experience to capture potential lifecycle risk in key building services elements and main services infrastructure.

03

Statutory compliance

The due diligence process also considers statutory compliance matters, including fire safety, deleterious materials such as asbestos, building control and planning compliance, accessibility, energy performance, and other ESG and sustainability considerations. The survey considers the risk potential and the adequacy of landlord or tenant responsibility and management.

04

Ownership, lease & legal matters

Making sure the legal due diligence by solicitors aligns with the assessment of the physical asset — reviewing title, tenant leases and service charge, easements and rights of way. Where there have been recent construction works, a review of the contract documentation can highlight risk items based on the condition of the asset.

05

CapEx forecasting

Taking all of this into account, the report includes CapEx forecasts, typically over 1, 5 and 10-year horizons, with the appropriate allocation between landlord, tenant and service charge expenditure, consideration of deferred maintenance issues, and a commercial view of the asset’s position within the investment strategy.
